Zerion Inc (“Zerion”, “we”, or “us”) provides software services, including the Zerion Interface and Zerion Wallet Services (collectively, the “Services”) through the web application, available at https://app.zerion.io, related mobile applications and browser extensions. Please find more information about Zerion Services following the link.
These terms and conditions govern the rewards program run by Zerion for Users of the Services (the “Rewards Program"). By interacting with the Services and the Dapps and networks supporting the Rewards Program, users can earn XP (experience points), progress through different levels, and unlock various rewards that enhance their experience within the Zerion ecosystem. This Rewards Program is intended to deepen user engagement and provide meaningful incentives based on users' interaction with Zerion services.
1.1. By using the Zerion Interface and assessing and participating in the Rewards Program, you agree to be bound by these Rewards Program Terms and Conditions (these “Rewards Program Terms” or “Terms”). These Terms shall govern your access to and activities in relation to the Rewards Program, and supplement our Zerion Terms and Conditions and Privacy Policy. By participating in the Rewards Program, you agree to be bound by these Terms and the Zerion Terms and Conditions and Privacy Policy. Certain capitalized terms used but not defined in these Rewards Program Terms will have the meanings ascribed to them in the ZerionTerms and Conditions.
1.2. We may update these Terms from time to time at our sole discretion. If we do, we will post the changes on this page and will indicate at the top of this page the date these Terms were last revised. If you continue to participate in the Rewards Program after we have posted updated Terms, it means that you accept and agree to the changes. If you don’t agree to be bound by the changes, you may not participate in the Program anymore. We may change or discontinue all or any part of the Program, at any time and without notice, at our sole discretion.
2.1. The Rewards Program is offered and available to users who are eighteen (18) years of age or older. By entering the Rewards Program, you represent and warrant that you are of legal age to form a binding contract with Zerion and meet all of the foregoing eligibility requirements. If you are agreeing to the Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to the Terms on that organization’s or entity’s behalf and bind them to the Terms (in which case, the references to “you” and “your” in the Terms, except for in this sentence and in the paragraph directly above, refer to that organization or entity).
You further represent that you are not a citizen, resident, or member of any jurisdiction or group subject to economic sanctions or where your access to the Rewards Program would not be illegal or otherwise violate any applicable law. You further represent that your access and participation in the Rewards Program will fully comply with all applicable laws and regulations and that you will not access or participate in the Rewards Program to conduct, promote, or otherwise facilitate any illegal activity. You must meet all of these requirements to access or use the Sites.
2.2 We reserve the right to deny or void your participation in the Rewards Program in any manner we deem fit, including in the event we discover that you do not fulfil these conditions.
3.1 You will participate in the Rewards Program strictly in accordance with these Terms. You are solely responsible for verifying the accuracy of any information obtained in connection with Zerion Services or in relation to the Rewards Program before using or participating in any of them.
3.2 You can take part in the Rewards Program using the Zerion Wallet Interface. To begin accumulating reward points (the “XP”, “XP points”) and unlocking rewards, users must first install the Zerion Wallet and either create a Zerion Wallet or import their existing non-custodial third-party wallet.
3.3 We accept no responsibility for, or liability to you, in connection with your use of a third-party wallet and make no representations or warranties regarding how the Services or the Rewards Program will operate with any specific wallet. You are solely responsible for keeping your wallet secure, and you should never share your wallet credentials or seed phrases with anyone. If you discover an issue related to your wallet, please contact the wallet provider.
3.4 The Rewards Program refers to third-party applications or networks that provide third-party services that can be accessed via Zerion Interface (“Third-Party Services”). These Third-Party Services are not operated or controlled by Zerion, and your use of these Third-Party Services is entirely at your own risk. In the case where you choose to place transactions through these Third-Party Applications or Networks and these transactions are not successful due to an error with the Third-Party Services, we accept no responsibility or liability to you for any such failed transactions or any transaction or gas fees that may be incurred by you in connection with such failed transactions. Additionally, these Third-Party Applications or Networks may impose a fee or charge for services. We are not responsible for any fees charged by a third party.
4.1 In your use of the Services and by participating in the Rewards Program, you will be granted certain XP points, reputation indicators or other intangible rewards (“Reward”). XP points are granted by us at our sole discretion and are intended to reward users’ participation and engagement in the Zerion ecosystem. Rewards do not represent any right to receive any assets or tokens in the future or any claim against Zerion or any other party. We make no guarantees, representations, or warranties regarding the value, availability, fungibility, exchangeability, or utility of any Rewards.
4.2 Users accumulate XP by engaging in various activities, including:
4.3 Each user begins at Level 0, progressing through levels by accumulating XP. Rewards unlock as users reach new levels, including fee discounts, unique in-app customizations, premium access, merchandise, and even exclusive community access. Over the first six months, the program will feature up to various levels introduced periodically. Rewards may vary and are subject to change or substitution at Zerion’s discretion.
4.4 XP points and/or Levels are not, and may never convert to, accrue to, be used as a basis to calculate, or become any other tokens or virtual assets or distribution thereof. XP points and levels are virtual items with no monetary value. XP points do not constitute any currency or property of any type and are not redeemable, refundable, or eligible for any fiat or virtual currency or anything else of value. XP points and levels are not transferable between users, and you may not attempt to sell, trade, or transfer any XP points and levels, or obtain any manner of credit using any XP points. Any attempt to sell, trade, or transfer any XP points and/or levels or tokens redeemable for or representing any XP Points and/or Levels will be null and void.
4.5 The operation of the Rewards Program and allocation of XP points, levels and rewards is dynamic and will be based, in part, on several factors and criteria to be determined at the sole discretion of Zerion. Zerion makes no representation or guarantee that any user will receive any XP points or achieve any particular outcome as a result of holding any XP points or otherwise participating in the Rewards Program.
By accessing or using the Service or participating in the Rewards Program, you represent and warrant that:
a. You have read and understood these Terms, our Terms and Conditions, and Privacy Policy;
b. You understand and agree that you are solely responsible for maintaining the security of your wallet and your control over any wallet-related authentication credentials, private or public cryptocurrency keys, non-fungible tokens or cryptocurrencies that are stored in or are accessible through your wallet. Any unauthorized access to your cryptocurrency wallet by third parties could result in the loss or theft of your assets held in your wallet and any associated wallets, including any linked financial information such as bank account(s) or credit card(s). We are not responsible for managing and maintaining the security of your cryptocurrency wallet nor for any unauthorized access to or use of your cryptocurrency wallet. You will notify us immediately If you notice any unauthorized or suspicious activity in your cryptocurrency wallet that seems to be related to the Service or this Rewards Program;
c. You possess adequate financial and technical knowledge to understand the inherent risks associated with using cryptographic and blockchain-based systems and purchasing and holding cryptocurrency. You understand that the markets for digital assets are nascent and highly volatile and that various risk factors such as adoption, speculation, technology, security, and regulation can impact their value;
d. You assume full responsibility for all the risks associated with accessing and using the Service, the Interface and/or participating in the Rewards Program, and understand that we are not responsible for any of these variables or risks, do not own or control the protocol, and cannot be held liable for any losses resulting from your use of the Service, the Interface or your participation in the Rewards Program; and
e. You understand that Zerion makes no representation or guarantee that any user will receive any XP points or achieve any particular outcome as a result of holding any XP points or otherwise participating in the Rewards Program.
You agree that you have read the Zerion Terms and Conditions and that your participation in the Rewards Program and use of the Services is subject to all provisions therein.
